Welcome to digraphics.co.uk, operated by Dhairya International. By accessing our website or engaging our services, you (“Client”) agree to be bound by the following Terms & Conditions. These terms govern our relationship and outline the rights and responsibilities of both parties.


1. Definitions

  • “Agency”, “We”, “Us”: Refers to Dhairya International and its trading name, digraphics.co.uk.

  • “Client”, “You”: Refers to the individual or entity engaging our services.

  • “Services”: Includes all digital marketing, design, development, and related services provided by the Agency.

  • “Deliverables”: The final outputs or products resulting from the Services, such as websites, graphics, content, etc.


2. Scope of Services

2.1 Engagement Types: We offer various engagement models, including:

  • Freelance Projects: One-off or short-term assignments.

  • Contractual Work: Fixed-term agreements with defined deliverables.

  • Permanent Employment: Full-time positions under payroll.

2.2 Service Agreement: A separate, detailed service agreement will outline the specific scope, timelines, and pricing for each project or engagement.


3. Intellectual Property Rights

3.1 Ownership: Unless otherwise agreed in writing:

  • All creative work, including graphics, content, and code, produced by the Agency remains the intellectual property of Dhairya International.

  • Clients are granted a non-exclusive, non-transferable license to use the Deliverables for the intended purpose.

3.2 Full Copyright Transfer: If you wish to obtain full copyright ownership of the Deliverables, please contact us at 📧 info@digraphics.co.uk for a separate quotation and agreement.

3.3 Third-Party Materials: Any third-party materials (e.g., stock images, fonts, plugins) used in the Deliverables are subject to their respective licenses and are not transferred to the Client.

3.4 Agency’s Portfolio: We reserve the right to showcase the Deliverables in our portfolio and marketing materials unless otherwise agreed.


4. Payment Terms

4.1 Fees: All fees are outlined in the separate service agreement or proposal and are subject to change upon mutual agreement.

4.2 Payment Schedule: Payments are due as per the agreed schedule in the service agreement. Late payments may incur interest charges.

4.3 Refunds: Due to the nature of digital services, we do not offer refunds once work has commenced. If you have concerns about the services received, please contact us to discuss potential resolutions.


5. Client Responsibilities

5.1 Provision of Materials: You agree to provide all necessary materials, information, and access required for the completion of the Services.

5.2 Timely Feedback: You agree to provide timely feedback and approvals to facilitate the progress of the project.

5.3 Compliance: You ensure that all materials provided do not infringe upon any third-party rights and comply with applicable laws and regulations.


6. Confidentiality

6.1 Obligation: Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement.

6.2 Exceptions: Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no fault of the receiving party.

  • Is independently developed by the receiving party.

  • Is required to be disclosed by law.


7. Limitation of Liability

7.1 General Limitation: To the maximum extent permitted by law, the Agency’s liability for any claim arising out of or related to the Services shall not exceed the total fees paid by the Client for the specific project or engagement.

7.2 Indirect Damages: The Agency shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

7.3 Third-Party Platforms: The Agency is not responsible for issues arising from third-party platforms (e.g., social media, hosting services) that may impact the Deliverables.


8. Termination

8.1 Termination by Client: You may terminate the engagement by providing written notice. Any outstanding fees for work completed up to the termination date remain payable.

8.2 Termination by Agency: The Agency reserves the right to terminate the engagement if:

  • The Client breaches any terms of the service agreement.

  • The Client fails to provide necessary materials or feedback.

  • The Client engages in conduct detrimental to the Agency’s reputation.

8.3 Consequences of Termination: Upon termination, the Client shall cease all use of the Deliverables and return or destroy any confidential information provided by the Agency.


9. Force Majeure

Neither party shall be held liable for failure to perform obligations under this Agreement if such failure is due to causes beyond their reasonable control, including but not limited to acts of God, war, strikes, or government regulations.


10. Dispute Resolution

10.1 Negotiation: In the event of a dispute, both parties agree to attempt to resolve the matter through good-faith negotiations.

10.2 Mediation: If the dispute cannot be resolved through negotiation, the parties agree to submit the matter to mediation before seeking legal remedies.

10.3 Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of England and Wales.


11. Amendments

The Agency reserves the right to update or modify these Terms & Conditions at any time, without prior notice. It is the Client’s responsibility to review the Terms & Conditions periodically on our website. Continued use of our services after any changes constitutes acceptance of the updated terms.


12. Miscellaneous

12.1 Entire Agreement: This document constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.

12.2 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Assignment: The Client may not assign or transfer their rights or obligations under this Agreement without the prior written consent of the Agency.
